Open Commerce Network Pty Ltd (“OCN”) owns 100% of the trading entity SkyBuys Pty Ltd ACN 621 746 067 (“SkyBuys”). SkyBuys is a digital platform for contactless transactions and participation in the US$100B global duty free and travel retail market. The platform aggregates duty free and tax free inventory from multiple travel retail suppliers into a single app for international airline passengers to provide.

● Passengers with an aggregated duty free and travel retail offer (multiple retailers, multiple airports, multiple brands) in a single platform;

● Airlines a new source of ancillary revenue service offering online duty free to their passengers, in cabin (using Wi-Fi or back of seat) or at any point in their journey after purchasing an international airline ticket;

● Online travel agents (OTAs) a new source of ancillary revenue service offering online duty free to their passengers at the time they purchase an international airline ticket;

● Brand managers and merchants with data attributable to a stock keeping unit (“SKU”) level. As brands have very few resources at their disposal, data and learnings are important for their marketing and future investment in advertising; and

● Concessionaires and travel retailers with value-adding opportunities to engage, develop and acquire customers and thereby materially change the way the industry operates and transacts.

RainCheck

Open Commerce Network Pty Ltd (“OCN”) owns 100% of the technology company Rain-Check.IT Pty Ltd ACN 602 680 259 (“RainCheck”).

SkyBuys is based on RainCheck, an award-winning and patented technology (with awards and accolades from Lufthansa & SAP, Accenture, VISA, SKIFT and Unilever among others).

The online duty free and travel retail platform is built on RainCheck technology, blending both online product discovery and offline commerce and providing attribution for marketers and merchants, as well as the ability to influence sales.

RainCheck has been granted patents in the USA and Australia and has been granted an Australian innovation patent (Australian innovation patent no. 2022100064).

The technology gives SkyBuys the potential to extend beyond the airport precinct and to include card-linking. This innovation allows SkyBuys and its channel partners to add offers, loyalty points or cash-back incentives to any debit or credit payment card (at a stock keeping unit (“SKU”) level - a unique number of retailers assign to products to keep track of stock internally - not just at the merchant level) on a range of transactions including downtown retail offers and experiences.
